Amplify Leads Inc. – Terms of Service & Billing Authorization
(Comprehensive Agreement – Updated for Stripe, FTC, A2P, and Canadian Compliance)

These Terms of Service ("Agreement") govern the relationship between Amplify Leads Inc. ("Contractor") and the Client ("Client"). By signing this Agreement, checking an approval box, paying any invoice, or using any Amplify Leads service, the Client agrees to all terms below.
1. Scope of Services
Amplify Leads Inc. provides marketing, advertising, CRM, and consulting services. Services may include:
- Landing page + funnel creation
- Creative/media asset development
- CRM setup and automation
- Email/SMS marketing systems
- Lead generation and appointment-setting campaigns
- Advertising campaign setup and optimization
- Technical integrations and system configuration
The Client acknowledges that Amplify Leads generates leads and marketing activity. The Client is solely responsible for follow-up, sales, communication, and closing customers.
2. Service Phases & Term
2.1 Development Phase (Setup)
- 30 days from date of first payment
- Includes creation of digital assets, systems, and funnels
2.2 Marketing Phase (Campaign Management)
- 90-day minimum term from date of campaign launch
- Automatically renews month-to-month unless 30-day written cancellation notice is provided
2.3 Renewal
If the Client does not cancel in writing with 30 days' notice, the agreement renews automatically.
3. Fees, Billing, & Non-Refundability
3.1 Payment & Billing
By entering this Agreement, the Client:
- Authorizes Amplify Leads to charge their card or payment method on file for all services, setup fees, monthly retainers, CRM fees, and recurring subscriptions.
- Understands all charges are processed automatically.
3.2 Non-Refundable Fees
The Client acknowledges:
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. NO EXCEPTIONS.
This includes:
- Setup fees
- Monthly management fees
- Any digital or creative work
- CRM charges
- Internal ad account fees
- Prepaid months
- Any partial service periods
- "Unused service" or "lack of use" does not qualify for refund or chargeback
3.3 Chargeback Waiver
Client agrees that:
Chargebacks are not permitted. All disputes must be handled directly with Amplify Leads Inc.
If a chargeback is filed, Amplify Leads will provide Stripe with:
- Signed agreement
- IP address & timestamp of acceptance
- Delivered assets
- CRM login logs
- Email/SMS records
- Ad campaign screenshots
- Proof of service fulfillment
4. Service Delivery Acknowledgment
Client agrees:
- Delivery of any digital assets, funnels, CRM systems, or initiation of campaign setup constitutes fulfillment of the service.
- Ad performance is influenced by external factors and is not guaranteed.
- Platform bans, policy changes, or ad account restrictions do not qualify for refunds.
- Delays caused by the Client (slow approvals, missing access, missing information) do not void payment obligations.
5. Client Responsibilities
The Client agrees to:
- Provide all business information, compliance details, KYC documents, and brand assets needed.
- Approve creative assets within 3 days of receipt.
- Use the Amplify Leads CRM for calls, SMS, appointment tracking, and communication.
- Maintain minimum monthly ad spend of $1,000 per platform.
- Follow up with all leads generated by Amplify Leads.
- Provide required access to Facebook, TikTok, Google, domains, email systems, etc.
Failure to follow these responsibilities does not constitute grounds for refund or dispute.
6. A2P 10DLC (Text Messaging Compliance)
Client acknowledges:
- All SMS sending requires A2P 10DLC verification, including legal business name, EIN/BN, address, website, and sample messages.
- The Client must provide accurate business information for registration.
- Failure to provide required A2P documents may result in texting limitations or failure to send messages.
- A2P fees, registration fees, and verification fees are non-refundable.
- Amplify Leads is not liable for A2P carrier rejections, delays, or changes imposed by U.S. carriers.
If the Client fails to provide accurate information: SMS delivery issues do not qualify for refunds or chargebacks.
7. CRM Usage Requirement
Client agrees to:
- Use the Amplify Leads CRM for all pipeline tracking
- Log appointments, calls, texts, and deal statuses
- Maintain accurate tracking to allow for optimization
If the Client refuses to use the CRM: Amplify Leads is not responsible for performance or lead quality claims.
8. Revisions
- Client receives 2 rounds of revisions
- If the Client fails to respond within 3 days, assets are marked approved
- Additional revisions may incur extra fees
9. Ad Accounts & Third-Party Platforms
The Client acknowledges:
- Amplify Leads cannot control Meta, TikTok, Google, LinkedIn, or external platforms.
- Account restrictions, bans, or policy changes do not qualify for refunds.
- If the Client's accounts cannot be used, Amplify Leads may provide a third-party internal ad account with an additional 8.5% fee on ad spend.
10. Cancellations
The Client may cancel with:
- 30 days' written notice via email only
- No cancellations are accepted through SMS, WhatsApp, or verbal communication
- No refunds will be issued for any portion of the billing period already paid.
11. No Guarantee of Results
Client acknowledges:
- Marketing performance varies
- Amplify Leads does not guarantee leads, appointments, sales, or revenue
- No guarantee is made regarding cost per lead, cost per appointment, or ROAS
12. Intellectual Property
All creative assets, funnels, and systems created by Amplify Leads are subject to the terms of this Agreement.
13. Limitation of Liability
Amplify Leads' liability is limited to:
The total amount paid for Setup Fees + Monthly Outflow Fees.
Amplify Leads is not liable for:
- Lost revenue
- Platform shutdowns or bans
- Algorithm changes
- Delays caused by Client
- Carrier restrictions
- Lead quality perceptions
14. Governing Law
This Agreement is governed by the laws of Ontario, Canada.
15. Entire Agreement
This document supersedes all verbal, written, or implied agreements.
